General Terms and Conditions (GTC) for the Purchase of Goods from FREEWEAR trading & fashion services LP

Scope 1.1 These General Terms and Conditions (GTC) apply to all orders and deliveries of goods offered by FREEWEAR trading & fashion services LP (hereinafter “Seller”) via its online shop. Deviating terms and conditions of the purchaser (customer) shall only become part of the contract if the Seller has expressly agreed to their validity in writing.
1.2 A “consumer” within the meaning of these GTC is a natural person who concludes a legal transaction for purposes that are predominantly neither commercial nor self‑employed. An “entrepreneur” is a person who, when concluding the legal transaction, is acting in the exercise of his commercial or independent professional activity.

Contracting parties; conclusion of contract 2.1 The contracting party is FREEWEAR trading & fashion services LP, registered office: [Imprint / company address].
2.2 By sending an order via the online shop, the customer submits a binding offer to conclude a purchase contract. The Seller will immediately confirm receipt of the order by e‑mail (order confirmation). This order confirmation does not yet constitute acceptance.
2.3 The purchase contract is concluded only upon the Seller’s express order confirmation or by delivery of the goods or by a shipment confirmation, whichever occurs first.

Prices, taxes, payment terms 3.1 The prices stated in the online shop at the time of ordering apply. Unless otherwise stated, prices include the VAT applicable in Cyprus. For deliveries to other states, different tax rules (e.g. reverse charge, tax‑exempt export delivery) may apply; relevant information will be provided during checkout.
3.2 Shipping costs shown separately in the shopping cart shall be borne by the customer unless otherwise agreed.
3.3 Payment shall be made using the payment methods offered in the shop (e.g. credit card, PayPal, bank transfer). In case of default of payment, statutory provisions apply; the Seller is entitled to claim default interest and dunning fees. Title to the goods remains with the Seller until full payment.

Delivery, delivery times, availability 4.1 Deliveries are made to the delivery address specified by the customer. Deliveries to third countries are subject to import formalities and may be subject to additional duties/taxes payable by the recipient.
4.2 Delivery times are non‑binding unless expressly agreed as binding. The delivery period begins for prepayment on the day of receipt of payment; for payment on account it begins on the date of the Seller’s acceptance.
4.3 If an ordered item is not available, the Seller will inform the customer without undue delay; any payments already made will be refunded. Further claims are excluded unless the Seller acted intentionally or with gross negligence.

Right of withdrawal (consumers) 5.1 Consumers have a right of withdrawal. The withdrawal period is 14 days and begins when the customer or a third party named by the customer takes physical possession of the goods. For multiple items ordered in a single order and delivered separately, the period begins upon receipt of the last item.
5.2 To exercise the right of withdrawal, the customer must notify the Seller by means of a clear statement (e.g. letter, e‑mail). Timely dispatch of the withdrawal statement is sufficient to meet the withdrawal deadline.
5.3 Effects of withdrawal: In the event of an effective withdrawal, received payments must be returned. The Seller will reimburse all payments without undue delay and no later than 14 days after receipt of the withdrawal notification; however, the Seller may withhold reimbursement until the goods have been received back or the customer has provided proof of shipment, whichever is earlier. The immediate costs of return shipment shall be borne by the customer, unless otherwise agreed or required by law. The customer is liable only for any diminished value of the goods resulting from handling other than what is necessary to establish the nature, characteristics and functioning of the goods.
5.4 Statutory exceptions to the right of withdrawal (e.g. custom‑made goods, sealed goods for hygienic reasons if the seal was removed) remain unaffected.

Return shipping costs on withdrawal 6.1 Return shipping costs in the event of withdrawal shall be borne by the customer, unless otherwise indicated in the offer. For consumers, the checkout process may provide for a different allocation of return costs (e.g. Seller bears costs), if so indicated.

Liability for defects (warranty) 7.1 Statutory warranty rights apply. In case of defects, the customer is initially entitled to remedy (repair) or replacement delivery. If subsequent performance fails, the customer may reduce the price or withdraw from the contract and, where applicable, claim damages in accordance with statutory provisions.
7.2 Apparent defects must be notified in writing by consumers within 2 weeks of delivery. If the customer fails to provide timely notice, warranty claims for such apparent defects may be excluded unless the Seller has fraudulently concealed the defect.

Liability 8.1 The Seller is liable without limitation for damages resulting from injury to life, body or health caused by a negligent or intentional breach of duty and for other damages in case of intent or gross negligence.
8.2 For slightly negligent breaches of essential contractual obligations, the Seller’s liability is limited to the typically foreseeable damage. Liability under the Product Liability Act remains unaffected.

Contract language; storage of the contract text 9.1 The contract language is English.
9.2 The Seller stores the contract text and sends the customer the order data and these GTC in text form. Access to the contract text is available via the customer account in the online shop, if one has been created.

Data protection 10.1 The Seller processes personal data of the customer for the purpose of contract processing in accordance with applicable data protection laws (GDPR). Further information on the nature, scope and purpose of the data processing and the rights of data subjects can be found in the shop’s privacy policy at: [link to privacy policy]. Social plugins; analytics tools 11.1 Where social plugins (e.g. Facebook) or analytics tools (e.g. Google Analytics) are used, data processing is carried out in accordance with the privacy policy. Information on opt‑out options is provided there.

Return address for withdrawal and complaints / returns 12.1 For withdrawal and returns use: FREEWEAR trading & fashion services LP, [imprint/returns address]. Before returning goods, the customer should contact customer service regarding the correct return address if it differs from the company’s registered office.

Final provisions: governing law, jurisdiction, ODR platform 13.1 Contracts between the Seller and customers are governed by the law of the Republic of Cyprus, except where mandatory consumer protection provisions of the EU member state in which the consumer has his habitual residence mandate otherwise. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.
13.2 If the customer is an entrepreneur, the exclusive place of jurisdiction for all disputes arising from this contract shall be the Seller’s registered office in Cyprus. For consumers, the mandatory jurisdictional rules of the consumer’s EU member state shall apply.
13.3 Online dispute resolution: The European Commission provides an Online Dispute Resolution (ODR) platform: https://ec.europa.eu/consumers/odr/. The Seller is not willing to participate in dispute resolution proceedings before a consumer arbitration board.

Miscellaneous 14.1 Should individual provisions of these GTC be or become invalid, the validity of the remaining provisions shall not be affected. The parties shall replace the invalid provision by one that most closely approximates the economic purpose of the invalid provision.
14.2 Amendments to these GTC must be made in writing. Changes will be communicated to the customer in an appropriate manner.
